Terms of Service
It describes how Upstero actually operates, but the entity details marked
[…] below still need filling in, and it has not been reviewed by a
lawyer. Have counsel review it before you rely on it commercially or submit it
to a network or payment processor.
1. Who we are
Upstero ("Upstero", "we", "us") is operated by [LEGAL ENTITY NAME], registered at [REGISTERED ADDRESS], [JURISDICTION]. These Terms govern your use of upstero.com and the affiliate and vendor dashboards.
By creating an account you accept these Terms. If you do not accept them, do not use the platform.
2. Accounts and approval
Affiliate accounts are reviewed before activation. We may approve, decline, suspend or close an account at our discretion, including where we believe traffic is fraudulent, incentivised without disclosure, or in breach of an advertiser's stated restrictions.
Individual offers may additionally require per-offer approval. Promoting an offer you have not been approved for does not create an entitlement to commission on that traffic.
You are responsible for the security of your credentials and for all activity under your account.
3. How commissions are earned
Commission is earned when a sale is attributed to a click generated by your affiliate link, subject to the advertiser's terms and to the checks below.
- Internal offers — Upstero operates the checkout as merchant of record. Attribution is established by a server-issued session token before payment is taken.
- Network offers — the advertiser sells through an external processor. Attribution depends on that processor returning our tracking identifier on their postback. Where a processor fails to return it, the sale cannot be attributed and no commission arises.
A commission is recorded as pending when the sale is received. It becomes payable only after it is approved. We do not treat an inbound postback as proof of payment to us.
4. Reserve, refunds and chargebacks
We retain a reserve of 10% of each commission against future refunds and chargebacks. Each reserved amount is held against the specific order that generated it and is released 30 days after that sale, unless the sale has been reversed.
If a sale is refunded, voided or charged back, the commission is reversed in full and the reserve held against it is released at the same time, so a reversed order nets to zero.
Your withdrawable balance at any time is the sum of commissions earned, less reversals, less reserve currently held, less amounts already paid. It is visible in full in your Commissions log.
5. Payouts
Payouts are made in US dollars to the payout method on your account: PayPal, Payoneer, bank wire or USDT. We do not pay to Indian UPI or to accounts that can only receive domestic currency.
Payouts are made once your withdrawable balance reaches the minimum threshold set on your account. You are responsible for the accuracy of your payout details; we are not liable for funds sent to an account you supplied incorrectly.
You are responsible for your own taxes and for any reporting obligations in your jurisdiction. We do not withhold tax on your behalf unless required to.
6. Promotion rules
Each offer carries its own permitted territories and restrictions, shown on the offer. Those restrictions form part of these Terms for traffic you send to that offer.
Unless an offer expressly permits it, you must not:
- bid on the advertiser's brand terms, or use their brand in a way that implies you are them;
- send unsolicited email or SMS, or any traffic that would breach anti-spam law;
- use incentivised traffic, autosurf, forced clicks, pop-unders, or generate clicks by any automated means;
- make health, income or earnings claims that the advertiser has not authorised in writing;
- misrepresent yourself as Upstero or as the advertiser.
We may reverse commission on traffic that breaches these rules, and close accounts that do so repeatedly or deliberately.
7. Tracking and data accuracy
Attribution is determined by our own tracking records. Where our records and a third party's disagree, ours govern for the purposes of your commission, except where we identify an error on our side.
Traffic identified as automated is recorded but excluded from visitor counts and from performance metrics.
8. Suspension, termination and withheld payment
Either party may close the account at any time. On closure, commissions already approved and outside the reserve window remain payable.
We may withhold payment where we have a reasonable, documented belief of fraud, of a material breach of these Terms, or where an advertiser has not paid us for the traffic in question. Where we do so we will tell you why.
9. Liability
The platform is provided "as is". To the extent permitted by law, we are not liable for indirect or consequential loss, or for lost profits or anticipated commissions.
Nothing in these Terms limits liability for fraud, or for anything that cannot lawfully be limited.
10. Changes and contact
We may update these Terms. Material changes will be notified in the dashboard before they take effect. Continued use after that constitutes acceptance.
